These Terms of Service (“Terms”) govern your access to and use of the website located at www.adnaco.biz (the “Store”) and your purchase of products from Adnaco Technology Inc. (“Adnaco,” “we,” “us,” or “our”).
By accessing the Store, creating an account, submitting an order, or purchasing a product, you agree to these Terms. If you do not agree, do not use the Store.
1. Eligibility and authority
You must be legally capable of entering into a binding agreement to use the Store or place an order. If you are purchasing on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.
2. Store information
We make reasonable efforts to ensure that product descriptions, specifications, photographs, pricing, availability and other information are accurate. However, errors or omissions may occasionally occur.
Product images are provided for identification and illustration. Minor differences that do not materially affect product functionality may occur. Current product datasheets, ordering information, quotations and written order confirmations should be consulted for technical specifications and configuration details.
We may correct errors, update information or cancel an affected order. If we cancel an order after payment has been processed, we will refund the amount paid for the cancelled item.
3. Products and technical suitability
Adnaco products are specialized electronic and fiber-optic systems intended for integration into compatible computer, industrial, scientific, medical and other technical environments.
Customers are responsible for:
- Selecting the correct product, configuration, transceiver type, cable and accessories;
- Confirming compatibility with their equipment, operating environment and intended application;
- Reviewing applicable product datasheets, user guides and specifications; and
- Performing appropriate system-level testing and validation.
Please contact us before ordering if you require assistance confirming a product configuration. Unless expressly agreed in writing, advice provided before purchase does not replace the customer’s responsibility for system integration and validation.
4. Orders
Submitting an order constitutes an offer to purchase the selected products. We may accept or decline an order, in whole or in part, for legitimate reasons including product availability, pricing or description errors, payment problems, suspected fraud, export restrictions or inability to deliver to the requested destination.
We may contact you to confirm technical configuration, shipping information, end use or other information required to process the order.
A purchase order, quotation or separately signed written agreement may contain additional terms. If a signed written agreement expressly conflicts with these Terms, the signed agreement will govern that conflict. Terms contained in a customer’s purchase order or other document do not modify these Terms unless expressly accepted by Adnaco in writing.
5. Prices, currency and additional charges
Prices displayed on the Store are in United States dollars (USD) unless expressly stated otherwise.
Applicable shipping charges and taxes will be displayed at checkout or communicated for approval before the purchase is completed. For international shipments, customs duties, import taxes, brokerage charges and other government-imposed charges may be assessed by the destination country. Unless expressly stated otherwise in writing, these charges are the customer’s responsibility.
We may change prices at any time, but a price change will not affect an order already accepted by Adnaco.
6. Payment
Payment must be made using an accepted payment method shown at checkout or otherwise approved by Adnaco. Orders may be held until payment has been successfully received and verified.
You represent that you are authorized to use the payment method provided and that the billing information submitted is accurate and complete.
7. Shipping and delivery
Available shipping methods, estimated lead times and delivery information are provided at checkout, in the applicable quotation or in the order confirmation.
Delivery dates are estimates unless Adnaco expressly agrees in writing to a guaranteed delivery date. Delays may occur because of carrier operations, customs processing, regulatory requirements, supply interruptions or events beyond our reasonable control.
Customers are responsible for providing a complete and accurate delivery address and for ensuring that someone is available to receive the shipment when required. Additional costs caused by an incorrect address, refused delivery, unsuccessful delivery attempt or failure to complete import requirements may be charged to the customer where permitted by law.
Please inspect delivered packages promptly and notify us of visible shipping damage or missing items as soon as reasonably possible.
8. Returns, cancellations and refunds
Returns, order cancellations and refunds are governed by our Return and Refund Policy, which forms part of these Terms.
Certain customized, specially configured or made-to-order products may not be eligible for cancellation or return where this is disclosed before purchase or otherwise agreed in writing.
Nothing in these Terms limits any non-waivable right or remedy available under applicable law.
9. Product warranties
Any product warranty is limited to the warranty expressly stated in the applicable product documentation, quotation, order confirmation or separate written warranty provided by Adnaco.
Except to the extent prohibited by applicable law, no additional warranty is created by information on the Store, pre-sale discussions or these Terms. Customers must follow applicable return-authorization and troubleshooting procedures when requesting warranty service.
10. Acceptable use
You must not:
- Use the Store for unlawful, fraudulent or abusive purposes;
- Provide false or misleading information;
- Attempt to gain unauthorized access to the Store, another account or related systems;
- Introduce malicious code, viruses or other harmful technology;
- Copy, scrape or systematically collect Store content without authorization;
- Interfere with the Store’s operation or security;
- Infringe the intellectual-property or other rights of Adnaco or another party; or
- Purchase, export, re-export, transfer or use products in violation of applicable laws or sanctions.
We may restrict or terminate access to the Store when reasonably necessary to protect Adnaco, our customers, Shopify or other parties.
11. Export and regulatory compliance
Adnaco products and related technical information may be subject to Canadian, United States or other applicable export-control, sanctions, customs and import laws.
Customers are responsible for complying with laws applicable to their purchase, importation, export, re-export, transfer and use of the products. We may request information concerning the purchaser, consignee, destination or intended end use and may decline or hold an order when reasonably necessary for compliance purposes.
12. Intellectual property
The Store and its content—including product names, text, photographs, diagrams, graphics, logos, datasheets and other materials—are owned by or licensed to Adnaco and are protected by applicable intellectual-property laws.
You may view, download or print Store materials for legitimate evaluation, purchasing, installation or use of Adnaco products. You may not reproduce, modify, distribute, publish, sell or commercially exploit Store content without prior written permission, except where permitted by law.
“Adnaco” and associated product names and logos are trademarks or trade names of Adnaco Technology Inc. Other names and marks belong to their respective owners.
13. Third-party services and links
The Store is hosted by Shopify and may use third-party services for payment processing, shipping, analytics and other functionality. Your use of certain third-party services may be subject to their own terms and privacy practices.
Links to third-party websites are provided for convenience. Adnaco does not control and is not responsible for third-party content, availability, security or practices.
14. Privacy
Our collection, use and disclosure of personal information are described in our Privacy Policy. By using the Store, you acknowledge that your information may be processed as described in that policy.
15. Store availability
We do not guarantee that the Store will always be available, uninterrupted, secure or error-free. We may modify, suspend or discontinue any part of the Store for maintenance, security, legal or operational reasons.
16. Disclaimer
To the fullest extent permitted by applicable law, the Store and its general informational content are provided on an “as available” basis. We disclaim implied representations and warranties concerning the Store except where they cannot lawfully be excluded.
This disclaimer does not replace or reduce an express written product warranty provided by Adnaco and does not exclude rights that cannot legally be waived.
17. Limitation of liability
To the fullest extent permitted by applicable law, Adnaco will not be liable for indirect, incidental, special, exemplary, punitive or consequential losses arising from use of the Store or purchase of a product, including loss of profit, revenue, data, production or business opportunity.
To the fullest extent permitted by law, Adnaco’s aggregate liability relating to a product or order will not exceed the amount paid to Adnaco for the product or order giving rise to the claim.
These limitations do not apply where liability cannot legally be excluded or limited.
18. Indemnification
To the extent permitted by law, you agree to indemnify Adnaco against third-party claims, losses and reasonable costs resulting from your unlawful misuse of the Store, violation of these Terms or infringement of another party’s rights.
19. Events beyond reasonable control
Adnaco is not responsible for delay or failure caused by events beyond its reasonable control, including natural disasters, fire, labour disruption, war, civil unrest, government action, sanctions, epidemics, carrier delays, customs delays, power or telecommunications failures and material or component shortages.
20. Governing law
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-law principles.
The courts of British Columbia will have jurisdiction over disputes, except where applicable consumer-protection law gives a customer the right to bring a proceeding in another jurisdiction.
21. Severability and waiver
If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect. A failure to enforce a provision is not a waiver of the right to enforce it later.
22. Changes to these Terms
We may update these Terms from time to time by posting a revised version on the Store and changing the “Last updated” date. Changes apply prospectively from the date they are published unless applicable law requires otherwise.
